SANJIESAN LICENSING / Business-model questions

Putting a character on an object is not the same proposal as operating a branded business

A gift-shop product and a proposal to operate a whole branded venue ask different business questions. Hong Kong’s official IP trading site describes merchandising and franchising as distinct licensing relationships. Use the distinction to organise an early conversation, rather than deciding the legal character of a transaction from a presentation title. The actual agreement needs its own qualified review.

Describe what the partner would actually do

Use ordinary verbs: develop an illustrated object, sell a selected range, host a themed event, or operate a venue under a proposed system. Keep each activity distinct even when the same character appears throughout. Identify what would be supplied beyond imagery, such as an intended operating reference or training contribution, while marking unconfirmed ideas as proposals. The list should explain the conversation without claiming an existing commercial arrangement.

Separate the object from the operating experience

Make two small sketches if necessary: what the customer receives and how the proposed venue or service would operate. A branded cup on a counter is not a full explanation of a business system. Conversely, a page about a venue should not leave its proposed product range undefined. Ask which part the recipient is being invited to discuss so the meeting reaches the team with the relevant responsibilities.

Name the open business questions

Record which proposed contributions, responsibilities and rights questions remain to be discussed. Avoid borrowing a franchise checklist to make a small artwork proposal seem more substantial, or calling a larger operating arrangement a simple image purchase to make it appear easy. Choose the description that helps the relevant adviser and partner understand the actual activity, then let the reviewed terms define the eventual relationship.
